He has handled more than 200 M&A deals for listed and private companies, both in Japan and overseas, by utilizing his practical experience obtained in the United States, which has allowed him to establish a strong reputation in the fields of business revitalization, bankruptcy, and litigation. He also deals with a wide variety of projects, which range from startup acquisitions to tender offer deals. In the field of disputes, he mainly deals with large and complex proceedings, and also has experience in international arbitration and mediation. Since he counts a large number of listed companies and universities as his clients and also serves as an outside director/auditor of various listed companies, he has been heavily involved in businesses run by manufacturers and retailers, as well as those in the healthcare industry and real estate industry, and those related to IT, human resources, and the operation of universities. He has accumulated a wealth of legal knowledge and experience and advises clients on a wide range of legal topics, including corporate law, commercial law, personnel and labor law, intellectual property, and antitrust.

Ing-Chian is a lead partner of our Taiwan practice group. As one of the few Taiwanese lawyers based in Japan, she handles a wide variety of matters for clients that conduct business in relation to Taiwan, such as M&A, finance, real estate, competition law/antitrust law, IP, and other international legal matters.
Notably, she was the first Taiwanese lawyer ever to be registered as a Gaikokuho-Jimu-Bengoshi (Registered Foreign Lawyer in Japan) qualified to practice law in Taiwan. She is based in Japan, but serves as a Co-Representative of our Taipei office, and provides our Japanese and Taiwanese clients with seamless, timely legal support for both their inbound and outbound legal needs.

Having worked as a partner in a prestigious law firm in China for about 3 years, in September 2010, Cuiping decided to come to Japan and work as one of the leaders of our China Practice Team, so as to take a step closer to her clients willing to expand their business globally and to help resolve their foreign legal issues more timely and actively. As an international lawyer specialized in the legal and business practice of both China and Japan, she has participated in plenty of investment and M&A projects between China and Japan using her fluent Chinese and Japanese. She also helps her clients to expand their business both domestically and globally using her strong social network established via numerous cross-border projects. Besides general corporate practice and corporate governance, she also devotes herself to cutting-edge legal issues such as the protection of data or personal information, presents creative resolutions to her clients, and provides them with continuous support on their overseas business. He has worked in Vietnam since 2014, and is currently a representative of our Hanoi Office. He has mainly provided legal advice to many Japanese and international companies on various cross border M&A cases and other cross border transactions, including the acquisition of shares in listed companies and large scale companies in various industries. He also provides advice on compliance, labor law, corporate disputes and general corporate and commercial transactions based on his extensive knowledge and experience.

In addition to his experience in Vietnam, he has practiced in Tokyo and various other Asian locations, including a secondment to an Indian law firm. He is known for leveraging his international experience and cultural insights into the local legal and commercial practices to resolve complex, cross-border legal issues in a timely manner, working closely with local counsel. He advises on investments at all stages, from inception to post-closing operations, as well as dispute resolution.

Takenobu Tsuruoka is a Partner in Nishimura & Asahi's acquisition finance group. Takenobu has extensive experience in the debt finance area, with a particular focus on acquisition financing, sustainable financing, project financing and securitization. He has a wealth of experience representing global private equity funds in high-profile deals, and he has been active in advising Japanese financial institutions as lenders or arrangers on leveraged financing, project financing and securitization. He gives due consideration to the market practice when providing legal advice.

Mr. Bang is a partner of our firm, with more than 15 years of experience as a lawyer. He joined the Ho Chi Minh City Office in 2010, as the first Vietnamese lawyer in the Ho Chi Minh City Office, and gained experience in a variety of diverse cases, including huge, complex projects. Mr. Bang specializes in inbound investments, corporate & commercial matters, M&A, banking, real estate property & construction, and labour. He also has significant experience in providing advice regarding unfair competition, securities, capital market transactions, project financing transactions, infrastructure projects, and energy projects. Before joining the firm, Mr. Bang gained professional experience in both a law firm and working with multinational corporations. He has been a regular contributor to a number of law-related magazines, and has actively participated in the legal training of law students, having been a law lecturer in Vietnam since 2009. Mr. Bang is a 2001 graduate of Hanoi University of Law (LL.B.), and received an LL.M. from the Transnational Law & Business University in Seoul, Korea in 2006. He is a member of the Ho Chi Minh Bar and the Vietnam Bar Federation, and is fluent in both English and Vietnamese.

As a core member of our acquisition finance practice, Yuki regularly advises private equity funds and major companies (as borrowers) and banks, leasing companies and mezzanine funds (as financers) on M&A transactions. He also advises asset managers and financial institutions on fund formation, fund investment, subscription finance, and other day-to-day issues. He frequently serves as counsel to arrangers and originators in structured finance transactions, primarily those involving securitization of receivables and other assets. His extensive knowledge of his clients’ businesses and relevant financial regulations enables him to offer practical, well-balanced regulatory advice, including advice on the Financial Instruments Exchange Act and the Banking Act of Japan.

Cao Tran Nghia has substantial experience as both in-house and outside counsel, and has worked at a leading law firm and a multinational investment fund in Vietnam. He joined Nishimura & Asahi in 2013, and since joining our firm, has provided legal advice to numerous domestic and multinational clients, including Vietnamese and Japanese corporations, with a focus on M&A, Real Estate, Construction, Infrastructure and PPP, and Energy in Vietnam. He works closely with clients’ business and legal teams to implement innovative solutions to legal challenges. He is a contributor to a number of legal magazines, and has co-authored several articles and publications on various topics.
